These Terms of Service govern the rights and obligations of all parties in connection with services provided by Vysion Agency (VMS Editions LLC), including but not limited to: UGC content production, creator sourcing, creative strategy, and advertising optimization.
By engaging Vysion Agency's services, the client fully accepts these Terms of Service. These terms supersede any conflicting terms in the client's own documents.
Services provided by Vysion Agency include, depending on the agreed scope:
The specific scope of each engagement is defined in the signed proposal or contract.
All prices are quoted in US Dollars (USD). Invoices are due upon receipt unless otherwise specified in the proposal. Late payments may incur interest at the maximum rate permitted by applicable law.
Unless otherwise specified in the contract, the client receives a full license to use all produced content for paid advertising purposes (Meta Ads, TikTok Ads, etc.) with no time limitation.
Vysion Agency commits to delivering its services with diligence and professionalism. However, it does not guarantee specific advertising results (ROAS, CPA, etc.), as these depend on numerous external factors beyond its control.
Either party may terminate the agreement with 30 days' written notice via email. All services rendered through the termination date remain payable.
Both parties agree to maintain the confidentiality of any proprietary information exchanged during the collaboration, for the duration of the contract and 2 years thereafter.
These Terms of Service are governed by the laws of the State of New Mexico, United States. Any disputes shall be resolved in the courts of Bernalillo County, New Mexico.
